These terms apply to all visitors, users, and clients of SoftInfo Technologies. We reserve the right to update these terms at any time. Continued use of our services after any changes constitutes acceptance of the revised terms.
SoftInfo Technologies provides digital growth services including but not limited to: Search Engine Optimization (SEO), Google Ads and paid advertising management, social media advertising, content marketing strategy, conversion rate optimization (CRO), technical SEO audits, local SEO, and full-funnel analytics setup.
The specific scope of services provided to any client is defined in the individual service agreement, proposal, or statement of work executed between SoftInfo and that client. These terms govern the general relationship; specific deliverables, timelines, and pricing are detailed in your project agreement.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. Where material changes affect an active client engagement, we will provide reasonable notice in writing.
To deliver results, we require your cooperation. You agree to provide accurate, complete, and current information about your business, target audience, competitors, and goals. Providing false or misleading information that results in a suboptimal strategy is the client's responsibility, not ours.
You agree to grant SoftInfo the necessary access to platforms, accounts, and tools required to execute the agreed services. This includes but is not limited to: Google Analytics, Google Search Console, Google Ads accounts, website backend access, and any third-party marketing platforms.
You are responsible for ensuring that all content, materials, trademarks, and intellectual property you provide to us are owned by you or that you have the legal right to use them. You indemnify SoftInfo against any claims arising from material you provide.
Timely feedback and approvals are essential to project delivery. Significant delays caused by the client's failure to respond, approve, or provide required materials are not within our control and do not constitute a service failure on our part.
Payment terms are defined in your service agreement. Unless otherwise specified, invoices are due within 14 calendar days of the invoice date. Monthly retainer fees are due at the start of each billing cycle.
Late payments may result in a suspension of services. We reserve the right to charge interest on overdue amounts at 2% per month or the maximum rate permitted by applicable law, whichever is lower.
All fees are stated exclusive of applicable taxes. Clients are responsible for all applicable taxes, duties, or levies arising from the provision of services.
Refunds are not provided for services already rendered. If you cancel an active retainer, you will be billed for the period up to and including the cancellation date, with services continuing until the end of the paid period.
We make no guarantee of specific rankings, traffic volumes, lead quantities, or revenue outcomes. Search engine algorithms are operated by third parties over which we have no control, and their changes can affect results regardless of best practices applied.
Historical results, case studies, and statistics referenced on our website represent outcomes achieved for specific clients under specific circumstances. They are illustrative of our capabilities and not a promise of the same results for any new engagement.
SEO and organic marketing are long-term strategies. Meaningful ranking improvements typically occur over a period of 3 to 9 months. Clients who cancel services before this period should understand that results may not yet be fully visible.
Paid advertising results depend on factors including your budget, industry competitiveness, landing page quality, and market conditions. We optimise campaigns within these constraints but cannot control external market factors.
Upon full payment, any original content, copy, or creative assets produced exclusively for your project by SoftInfo become your property. Strategy documents, frameworks, templates, and methodologies developed by SoftInfo remain our intellectual property.
You grant SoftInfo a non-exclusive, royalty-free licence to use your company name, logo, and general project description for portfolio, case study, and marketing purposes, unless you explicitly request otherwise in writing prior to the commencement of services.
You must not reproduce, distribute, or create derivative works from any SoftInfo proprietary materials, reports, or frameworks without written consent.
Both parties agree to keep confidential any information disclosed during the course of the engagement that is reasonably understood to be proprietary or sensitive, including business strategies, financial data, customer lists, and technical information.
This obligation does not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.
Upon termination of services, both parties agree to return or securely destroy confidential information belonging to the other party upon request.
We collect and process personal data in accordance with our Privacy Policy. By using our website or engaging our services, you consent to the collection and processing of data as described therein.
In the course of service delivery, we may access client data including website analytics, customer lists, and campaign data. We treat all such data as confidential and use it solely to deliver the agreed services.
We implement reasonable technical and organisational measures to protect data against unauthorised access, loss, or disclosure. However, no method of transmission over the internet is 100% secure and we cannot guarantee absolute security.
Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. Standard notice periods are 30 days for monthly retainers unless otherwise agreed.
SoftInfo may terminate services immediately and without notice in the event of: non-payment of fees, provision of materially false information, breach of these terms, or if continuing the engagement would require us to engage in activity we consider unethical or unlawful.
Upon termination, you will retain ownership of all paid-for deliverables. Access to any platforms, dashboards, or tools we have set up on your behalf will be transferred to you within 10 business days of the termination date.
To the maximum extent permitted by applicable law, SoftInfo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of our services.
Our total cumulative liability to you for any claims arising from these terms or your service engagement shall not exceed the total fees paid by you to SoftInfo in the three months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow limitations on liability for certain types of damage. In such cases, the limitation above applies to the fullest extent permitted by applicable law.
These terms are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or from a service engagement shall first be attempted to be resolved through good-faith negotiation between the parties.
If negotiation fails, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with proceedings conducted in Noida, Uttar Pradesh.
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
